- Significantly expanding collaboration with Nespresso under a new, additional agreement for the next five years.

- Becoming one of the world’s leading suppliers in the global growth market for special seals and gaskets through acquisition of the Profiles Division of Phoenix Dichtungstechnik.

- Reducing exposure to the Swiss franc exchange rate by concentrating extrusion manufacturing in Germany.

Significantly expanding collaboration with Nespresso

The Datwyler Group’s Sealing Technologies Division, packaging segment, is continuing to significantly expand its successful collaboration with Nespresso. The new agreement will run for the next five years until the end of 2016. Its implementation will create some 50 new jobs at Datwyler’s  Schattdorf facility in Switzerland. This new agreement with Nespresso is parallel to the agreement extending the previous collaboration, which was already announced in December 2010. Details of the new agreement are subject to a confidentiality clause.

Becoming one of the leading suppliers of special seals and gaskets

Datwyler is also further reinforcing the niche position held by its Sealing Technologies Division in the global market for special seals and gaskets. With effect from 1 January 2012, the Datwyler Group will acquire the Profiles Division of Phoenix Dichtungstechnik GmbH, Hamburg, a unit generating annual revenue of around EUR 35 million (about CHF 43 million). The acquisition covers the Phoenix Profiles Division’s customer base, 169 employees (incl. 8 apprentices) and manufacturing facilities in Waltershausen (Thuringia) as well as the sales and development staff in Hamburg. The Waterproofing Division will remain with Phoenix Dichtungstechnik GmbH. Other terms of the transaction are not disclosed. Completion of the agreement is scheduled for 1 January 2012 subject to compliance with the customary regulatory conditions. Phoenix’s Profiles Division is a leading international manufacturer of high-quality elastomeric seals and gaskets. This acquisition will make Datwyler one of the leading suppliers in the global growth market for special seals and gaskets.

Reducing exposure to the Swiss franc exchange rate

With the current strong order book, the acquisition of Phoenix’s Profiles Division and the new agreement with Nespresso, annual revenue potential in Datwyler’s Sealing Technologies Division will increase by about CHF 80 million to more than CHF 220 million. At the same time as consolidating Datwyler’s position in the market, the acquisition of Phoenix’s Profiles Division will also allow production structures to be optimised. After completion of the agreement, Datwyler will concentrate extrusion manufacturing at its new Waltershausen site in Germany by mid-2012, thereby further reducing its exposure to the Swiss franc exchange rate.

Focusing manufacturing facilities and concentrating expertise

These moves will reposition the Schattdorf facility in Switzerland both to enhance competitiveness by reducing exposure to the Swiss franc exchange rate and to focus the facility on automated processes and complex products as a competent component supplier. The Schattdorf facility will continue to play an important role in Datwyler’s Sealing Technologies Division as a competence centre for automotive and packaging sealing products. About 50 employees in the extrusion segment will be offered jobs in the new packaging manufacturing unit. However, 10 redundancies will be unavoidable. The people affected will receive professional assistance from a job centre. With extrusion manufacturing being concentrated at the new location in Waltershausen, Datwyler’s current German facility in Springe will be closed down on 30 June 2012. All 30 members of the Springe workforce affected will be offered continued employment in Waltershausen. Individual solutions will be considered for any cases of hardship.
